Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Shiftly’s websites, products, and services (the “Services”). By using the Services, you agree to these Terms.

1. Accounts & Eligibility

  • You must be at least 18 and legally able to enter contracts.
  • You are responsible for your account, passwords, and activity.
  • Organizations are responsible for actions of their users and for the accuracy and legality of data they input to the Services.

2. Subscriptions, Trials & Billing

  • We may offer time-limited free trials (e.g., 14 days). When the trial ends, access may be restricted until a paid plan is active.
  • Billing is handled by Stripe; your plan status and current period end dates are reflected in your organization record.
  • Unless stated otherwise, subscriptions renew automatically until canceled. Taxes may apply. All fees are non-refundable except as required by law or our written policy.

3. Acceptable Use

  • No illegal, infringing, harmful, or abusive content or conduct.
  • No security violations, data scraping, or service interference.
  • No misrepresentation of identity or organization affiliation.
  • You will comply with applicable labor, privacy, and safety laws when using the Services for scheduling and assignments.

4. Notifications (Email & SMS)

The Services may send emails and SMS (e.g., assignment updates). By providing a phone number, you consent to receive SMS from us and our providers. Message frequency varies; message & data rates may apply. Reply STOP to opt out or HELP for help.

5. Your Content & License

You retain rights to content you submit (e.g., job info, schedules). You grant Shiftly a worldwide, non-exclusive license to use, reproduce, modify, and display your content solely to provide and improve the Services.

6. Third-Party Services

We integrate with third-party services (e.g., Supabase, Stripe, Resend, Textbelt/Twilio). Your use of third-party services may be subject to their terms and policies. We are not responsible for third-party services.

7. Confidentiality

Each party may access the other’s confidential information. A party will use such information only to perform under these Terms, protect it using reasonable measures, and not disclose it except to personnel and providers who need to know and are under obligations at least as protective.

8. Intellectual Property

The Services (including software, design, and brand) are owned by Shiftly and its licensors. No rights are granted except as expressly stated in these Terms.

9. Feedback

If you provide feedback or suggestions, you grant us a royalty-free, worldwide, transferable license to use them without restriction.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SCHEDULING OUTPUTS AND NOTIFICATIONS ARE PROVIDED FOR CONVENIENCE AND MAY NOT BE ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ShiftlyBE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO Shiftly FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

12. Indemnification

You will indemnify and hold Shiftly harmless from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Services, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms or create risk/harm. Upon termination, your right to use the Services ends. Certain sections survive termination (e.g., IP, confidentiality, disclaimers, limits, indemnity).

14. Governing Law; Disputes

These Terms are governed by the laws of California, without regard to conflicts of law. The exclusive venue for disputes is the state or federal courts located in San Francisco County, California, unless otherwise required by law.

15. Changes to the Terms

We may update these Terms from time to time. We’ll post the revised Terms with a new effective date and, when required, provide notice. Continued use of the Services after changes constitutes acceptance.
